Opichi LLC Product Terms of Service

These Product Terms of Service (“Terms”) govern your access to and use of software products, applications, and related services provided by Opichi LLC (“Opichi”). They are separate from, and in addition to, our general website Terms and Conditions.

1. Acceptance of Terms

By accessing, purchasing, downloading, installing, or otherwise using Opichi software, you agree to these Terms. If you do not agree, do not use the software.

2. License, Not Ownership

Opichi grants you a limited, non-exclusive, non-transferable, revocable license to use the software in accordance with these Terms. Opichi retains all rights, title, and interest in and to the software, including the source code, design, trademarks, workflows, documentation, and related intellectual property. You are purchasing the right to use the software, not ownership of the software or its underlying assets.

3. Restrictions

Without prior written permission from Opichi, you may not:

  • Copy, resell, sublicense, lease, or distribute the software.
  • Reverse engineer, decompile, or disassemble the software.
  • Modify the software or create derivative works.
  • Remove or alter any proprietary notices, trademarks, or labels.
  • Use the software to build a competing product or service.

4. Payments and Subscriptions

Opichi software may be offered as a one-time purchase, monthly subscription, annual subscription, custom client license, internal business tool, or white-labeled product. The applicable model, pricing, and billing cycle will be specified at the time of purchase.

For subscriptions, your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. You may cancel at any time through your account or by contacting Opichi; cancellation takes effect at the end of the current billing period and no partial-period refunds are issued unless required by law.

5. Refund Policy

All sales are final. Payments for software licenses, subscriptions, custom development, implementation services, and onboarding fees are non-refundable, except where a refund is required by applicable law. Cancelling a subscription stops future renewals but does not entitle you to a refund of fees already paid for the current or prior billing periods.

6. Account Access and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify Opichi promptly of any unauthorized access or security incident. Opichi is not liable for losses arising from your failure to safeguard your account.

7. Updates and Version Changes

Opichi may release updates, improvements, bug fixes, or new versions of the software at its discretion. Some updates may modify, replace, or remove existing functionality. Continued use of the software following an update constitutes acceptance of those changes.

8. No Guarantee / As-Is Disclaimer

The software is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Opichi does not guarantee that the software will be uninterrupted, error-free, secure, or meet every customer requirement.

9. Limitation of Liability

To the fullest extent permitted by law, Opichi will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, data loss, business interruption, or loss of goodwill. Opichi’s total aggregate liability arising out of or relating to the software or these Terms will not exceed the amount paid by you to Opichi in the three (3) months immediately preceding the event giving rise to the claim.

10. User Data and Privacy

Opichi’s collection and use of personal information in connection with the software is described in our Privacy Policy. By using the software, you acknowledge that you have reviewed the Privacy Policy.

11. Customer Content

You retain ownership of any content, data, files, prompts, documents, logos, or business information you upload to or generate within the software (“Customer Content”). You grant Opichi a limited, worldwide, non-exclusive license to host, process, store, transmit, and use Customer Content solely as necessary to provide, maintain, and improve the software for you.

12. AI-Generated Output

Some Opichi software uses artificial intelligence to generate output. AI-generated outputs may be inaccurate, incomplete, biased, or unsuitable for certain uses. You are solely responsible for reviewing, validating, and determining the appropriateness of any AI-generated output before relying on it, and for any decisions or actions you take based on it.

13. Termination

Opichi may suspend or terminate your access to the software if you violate these Terms, fail to pay required fees, misuse the software, engage in unlawful activity, or create risk for Opichi or other users. Upon termination, your license to use the software ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) will survive.

14. Brand and Copyright

Opichi, the Opichi logo, software interfaces, product names, documentation, and related materials are owned by Opichi LLC and are protected by copyright, trademark, and other intellectual property laws. No rights in those marks are granted except as expressly stated in these Terms.

15. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the software will be subject to the exclusive jurisdiction of the state and federal courts located in New York.
